Moscow, 1 December 2006. OAO "TGC-10" has completed the establishment of its target corporate structure.
Today, the Company received from Tyumen City Inspectorate No. 3 of the Federal Tax Service of Russia certificates of termination of the following legal entities' activities – OAO "Chelyabinsk Generation Company" and OAO "TGC-10" -- due to the completion of their merger with and into OAO "Tyumen Regional Generation Company".
The surviving entity, OAO "Tyumen Regional Generation Company", was renamed to OAO "TGC-10" (such name change was approved by the joint General Meeting of shareholders in OAO "Chelyabinsk Generation Company", OAO "TGC-10", and OAO "Tyumen Regional Generation Company" held 6 October 2006).
Also, the shares in the merged RGCs were converted today into shares in OAO "Tyumen Regional Generation Company" (OAO "TGC-10"), and all merged companies' shareholders became shareholders in OAO "TGC-10".
As a result of the merger, RAO "UES of Russia" now holds a 81.6% stake in TGC-10. TGC-10 shares are expected to start trading on the RTC and MICEX stock exchanges in February 2007.
RAO "UES of Russia" anticipates that the target corporate structure of TGC-10 will be finally formed after the merger of OAO "Kurgan Generation Company", which is expected to take place in mid-2007.
The production and financial assets consolidation is designed to increase the attractiveness of TGC-10 for investors.
