Moscow. 16 January 2007. OAO "TGC-13" has completed all legal and corporate procedures required to consolidate its assets. OAO "TGC-13" and OAO " OAO "Krasnoyarskaya Generatsiya" have merged with and into OAO "Khakassia Generation Company", and the latter has been renamed to OAO "Yeniseyskaya TGC (TGC-13)".

Earlier, in August 2006, resolutions to carry out the mergers were approved by the Board of Directors of RAO "UES of Russia", which was performing the functions of the EGMs of OAO "TGC-13" and OAO "Khakassia Generation Company", and, with the support of minority shareholders, by the EGM of OAO "Krasnoyarskaya Generatsiya".

Shares in the merged companies, OAO "TGC-13" and OAO "Krasnoyarskaya Generatsiya", were converted into shares of OAO "Yeniseyskaya TGC (TGC-13)". As a result, the companies' respective shareholders acquired shares in OAO "Yeniseyskaya TGC (TGC-13)". After the additional share placement report is registered with the Federal Service for Financial Markets of the Russian Federation (FSFM), RAO "UES of Russia" will hold 56.92 percent in OAO "Yeniseyskaya TGC (TGC-13)".

It is planned that shares in the company currently being established, OAO "Kyzylskaya CHPP" (OAO "Tyvaenergo"), will also be transferred to OAO "Yeniseyskaya TGC (TGC-13)".

The consolidation of the financial and generation assets located in the Krasnoyarsk Kray and Republic of Khakassia will increase investment attractiveness of OAO "Yeniseyskaya TGC (TGC-13)" and make it more stable and reliable. The company now submits price offers to NP "Administrator of Trading System" (NP "ATS") as an independent participant of the free market segment.

To date, the target structure has been achieved at all six thermal WGCs and five TGCs (TGC-3 (OAO "Mosenergo"), TGC-4, TGC-5, TGC-13, and TGC-14).
