Siktivkar. On November 15th took place the special stockholders meeting of “Komi regional generating company” (KRGC). The stockholders decided to reorganize the company in the form of affiliation to TGC-9.
The stockholders' meeting approved the Contract of affiliation of “Komi regional generating company” to TGC-9 and transmission acts. The Contract of affiliation determines the order and conditions of reorganization of the generating company of Komi Republic, coefficients of conversion of stocks of KRGC into the stocks of Territorial Generating Company No.9, conditions of succession of rights and obligations of KRGC.
The Contract of affiliation of KRGC to TGC-9 provides the following coefficients of conversion of stocks:
- into 1 (one) nominal share of OJSC “TGC-9” with the par of 0,003 RUR is converted 1/189 of a nominal share of OJSC “Komi regional generating company” with the par of 0,65 RUR each;
- into 1 (one) nominal share of OJSC “TGC-9” with the par of 0,003 RUR is converted 1/173 of a privileged nominal share of OJSC “Komi regional generating company” with the par of 0,62 RUR each.
Nowadays they have finished the first stage of formation of TGC-9 by affiliating it with Permskaya generating company and Sverdlovskaya generating company. On July 1st, 2006 “Komi regional generating company” that was allocated from “Komienergo” got its state registration.
KRGC will be affiliated to TGC-9 in the first quarter of 2007 and it will finish the formation of the principal structure of “Territorial Generating Company No.9”.
The stockholders' meeting of Komi regional generating company also approved the auditor of the Company – it was “Auditing company “Femida-Audit”, it accepted provisions of the order of preparation and holding of the stockholders' meeting, of the order of calling and holding of meetings of the Board of Directors, of the Audit commission.

KRGC includes Vorkutinskaya HPP-1 and HPP-2, Intinskaya and Sosnogorskaya HPP and also Siktivkarskie and Ukhtinskie heat networks. The installed electrical power of production assets of the company is 690 megawatt, the heat power is 2812 Gkal/hour.
