Moscow, 22 May 2006. OAO "WGC-1",* OAO "Permskaya TPP", OAO "Kashirskaya TPP", OAO "Verkhnetagilskaya TPP", OAO "Nizhnevartovskaya TPP", OAO "Urengoiskaya TPP" and OAO "Iriklinskaya TPP" held a joint general meeting of shareholders.

Another joint meeting was held by shareholders of OAO "WGC-4",** OAO "Berezovskaya TPP", OAO "Smolenskaya TPP", OAO "Surgutskaya TPP-2", OAO "Shaturskaya TPP-5", and OAO "Yaivinskaya TPP".

Also, a joint meeting was held by shareholders in OAO "TGC-2"***, OAO "Arkhangelsk Generation Company", OAO "Kostroma Generation Company", OAO "Novgorod Generation Company", OAO "Tver Generation Company", OAO "Yaroslavl Energy Company" and OAO "Vologodskaya CHPP".

The shareholders approved amendments to the Charters of OAO "WGC-1", OAO "WGC-4", OAO "TGC-2" relating to the merger of the above companies with and into the respective generation companies. These amendments provide, inter alia, that OAO "WGC-1", OAO "WGC-4", and OAO "TGC-2" will become legal successors to the rights and obligations of the merging companies with respect to their creditors and debtors with effect from the date of their merger with and into OAO "WGC-1", OAO "WGC-4", OAO "TGC-2".

* OAO "WGC-1" was registered with the state authorities on 23 March 2005 in the city of Tyumen. The Director General of OAO "WGC-1" is Vladimir Khlebnikov. The resolution to establish OAO "WGC-1" as a wholly-owned subsidiary of OAO RAO "UES of Russia" was approved by the Board of Directors of RAO "UES of Russia" on 24 December 2004.

** OAO "WGC-4" was registered with the state authorities on 4 March 2005 in the city of Surgut. The Director General of OAO "WGC-4" is Andrey Kitashev. The resolution to establish OAO "WGC-4" as a wholly-owned subsidiary of OAO RAO "UES of Russia" was approved by the Board of Directors of RAO "UES of Russia" on 26 November 2004.

*** OAO "TGC-2" was registered with the state authorities on 19 April 2005 in the city of Yaroslavl. The Company's Director General is Vasily Nesvetaylov. The resolution to establish OAO "TGC-2" as a wholly-owned subsidiary of RAO "UES of Russia" was approved by the Board of Directors of RAO "UES of Russia" on 25 February 2005. The targeted structure of OAO "TGC-2" provides for the merger of regional generation companies with and into TGC-2.
