Moscow. 1 June 2007. OAO "Volzhskaya TGC" has completed all the legal and corporate procedures required to consolidate its subsidiaries. Today, OAO "Samara Generation Company", OAO "Saratov Generation Company", OAO "Ulyanovsk Generation Company" merged with and into OAO "Volzhskaya TGC".

The Company was formed in four phases: establishment of OAO "Volzhskaya TGC" and transfer of part of the generation assets from OAO "Samaraenergo", OAO "Saratovenergo", and OAO "Ulyanovskenergo" to Volzhskaya TGC; spin-off of regional generation companies (RGCs) from OAO "Samaraenergo", OAO "Saratovenergo", and OAO "Ulyanovskenergo"; transfer of shares in OAO "Orenburg Thermal Generation Company" as capital contribution to Volzhskaya TGC; and finally, merger of the RGCs with and into Volzhskaya TGC.

Today's merger of the three RGCs with Volzhskaya TGC completes the final phase of Volzhskaya TGC reorganization. Shares of the RGCs were converted into Volzhskaya TGC shares, and all shareholders in the RGCs became shareholders in the TGC. After the placement report on the new share issue is registered with the FSFM of Russia, RAO "UES of Russia" will hold a 54.47 percent stake in OAO "Volzhskaya TGC".

At its meeting of 29 September 2006, the Board of Directors of RAO "UES of Russia" included Volzhskaya TGC in the list of pilot WGCs and TGCs to issue new shares in order to raise funds needed to expand thermal generation capacity. At its meeting of 25 May 2007, the Board of Directors of RAO "UES of Russia" approved the programme for preparation and issuance of new shares in Volzhskaya TGC. The company is authorized to issue 3,859 million new shares, which makes 12.87 percent of its authorized capital after the share issue. The shares will be offered to the general public through "open subscription".

OAO "Volzhskaya TGC"* was registered with the authorities on 1 July 2005, and started operational activities on 1 January 2006. On 1 April 2006, OAO "Samaraenergo", OAO "Saratovenergo", and OAO "Ulyanovskenergo" were reorganized and new companies—OAO "Samara Territorial Generation Company", OAO "Saratov Territorial Generation Company", OAO "Ulyanovsk Territorial Generation Company" ("RGCs")—were spun off from the respective regional energos. On 9 March 2007, the shares of OAO "Orenburg Thermal Generation Company" were transferred to Volzhskaya TGC as capital contribution.

The aggregate installed generation capacity controlled by Volzhskaya TGC (TGC-7), including OAO "Orenburg Thermal Generation Company", is 6879.7 MW of electricity and 31089.7 Gcal/h of heat.
